Modine plans to become Modexus Solutions following the spinoff of its Performance Technologies business and merger with Gentherm. The name change is subject to shareholder approval, and Modexus Solutions will continue trading on the New York Stock Exchange under the ticker “MOD.”
The new company will operate as a diversified thermal management business serving markets including data center cooling, commercial HVAC and refrigeration. Modine said the Modexus Solutions name is intended to carry forward its century-long heritage and reflect its focus on connected thermal systems and solutions.
The transaction was overwhelmingly approved by Gentherm shareholders at a special meeting on September 10, 2026. It is expected to close on October 1, 2026, subject to the satisfaction or waiver of customary closing conditions. Following closing, Neil D. Brinker will remain CEO, Michael (Mick) Lucareli will remain CFO, and the current Board of Directors will continue.

Modine expects to call a special meeting of stockholders to vote on the proposed name change within three months after the transaction closes. Details of the meeting will be announced later.
