Honeywell to Acquire Sundyne for $2.16 Billion
Honeywell has announced an agreement to acquire Sundyne from private equity firm Warburg Pincus for $2.16 billion in an all-cash transaction. The deal values Sundyne at approximately 14.5 times its estimated 2024 EBITDA on a tax-adjusted basis. Sundyne specializes in designing and manufacturing high-performance pumps and gas compressors for process industries. The acquisition will strengthen Honeywell’s Energy and Sustainability Solutions (ESS) business by enhancing its innovation capabilities and efficiency, while supporting global energy security.

Sundyne’s portfolio of products and technologies will expand the strategic potential of Honeywell UOP’s operations in refining, petrochemicals, liquefied natural gas (LNG), and clean and renewable fuels. The integration will enable customers to benefit from a broader product offering, with Honeywell Forge facilitating the digitalization of Sundyne’s equipment to improve reliability and predictive maintenance. Additionally, Honeywell’s research and development capabilities will accelerate new product development in the pumps and compressors segment.

Based in Arvada, Colorado, Sundyne operates globally with around 1,000 employees and generates significant recurring revenue from its installed base. The acquisition is expected to drive revenue synergies through integration with Honeywell UOP’s process licensing, modular solutions, and extensive sales network.

The deal is expected to close in the second quarter of 2025, subject to regulatory approvals and customary closing conditions.
