Merger of Sest S.p.A. and Air Hex Alonte S.r.l. at LU-VE S.p.A. was approved

LU-VE S.p.A. announces that the Board of Directors has approved the merger of its wholly owned subsidiaries Sest S.p.A. ("Sest") and Air Hex Alonte S.r.l. ("AHA") into LU-VE, in accordance with the Company’s Articles of Association and pursuant to a respective plan of joint merger. This decision was also approved by the shareholders' meetings of Sest and AHA on the same day.

The merger aims to streamline the corporate and management structure of the LU-VE Group, enhancing internal process optimization, cost containment, and the simplification of the shareholding structure. This consolidation is expected to ensure greater economic, managerial, and financial efficiency.

Significant savings and benefits are anticipated from the merger, primarily through the reduction of administrative, management, and organizational costs. The integration will concentrate functions within a single entity, replacing the current three-company structure, thereby enhancing overall functionality and efficiency for the LU-VE Group.

The LU-VE Group looks forward to the improved operational efficiency and the strategic advantages this merger will bring, reinforcing its commitment to continuous growth and innovation.
