Vertiv Completes $1.45 Billion Acquisition to Expand Data Center Power Solutions

UIG adds microgrid controls, onsite generation and energy storage orchestration to Vertiv's data center power and cooling portfolio.

Vertiv Completes $1.45 Billion Acquisition to Expand Data Center Power Solutions

Vertiv has completed its acquisition of Utility Innovation Holdings, Inc., operating as UtilityInnovation Group (UIG), for approximately $1.45 billion in upfront cash. The transaction expands Vertiv’s power infrastructure capabilities for data centers, adding microgrid controls, onsite generation orchestration and behind-the-meter power architecture.

The agreement includes up to $1.15 billion in additional cash payments tied to UIG’s EBITDA performance over 12- and 24-month periods. The upfront purchase price represents approximately 13 times UIG’s expected 2027 EBITDA. Vertiv expects the acquisition to contribute positively to adjusted earnings per share in the first year following completion.

UIG specializes in microgrid solutions, advanced power controls and behind-the-meter power architecture for data centers. Its technologies add microgrid-specific switchgear, onsite generation and energy storage orchestration to Vertiv’s existing power and cooling portfolio, extending its capabilities from the utility grid interconnect to chip-level infrastructure.

The combined portfolio is intended to help data center operators accelerate access to power, reduce dependence on utility interconnection timelines and expand onsite capacity beyond grid limitations. Vertiv also expects to provide coordinated infrastructure solutions without requiring customers to rely on a single power generation technology or supplier.

“As AI data center operators work to accelerate deployment in an increasingly power-constrained environment, access to power has become a critical competitive advantage,” said Giordano Albertazzi, CEO of Vertiv. “With UIG now part of Vertiv, we can extend our capabilities upstream to the utility interconnect and onsite power sources, creating a coordinated solution, from behind-the-meter power generation to chip, that helps customers achieve faster time to power without tying them to a single generation technology or supplier.”
